Terms and Conditions

COMMUNICATION TERMS

Our primary goal remains to deliver exceptional results for your brand, and we are committed to finding the most efficient path forward to achieve this. We have strategies in place to ensure that clients are clear on our expectations, allowing projects to be completed in a timely manner. We will efficiently complete branding and website projects for your company, by implementing the following guidelines and strategies.

  • When we send a design for feedback, we request receiving feedback/revisions within 5 business days.
    • Communication is important here. If you are going to be out of town for a planned trip, please let us know a reasonable timeframe of when you will get feedback back to us.
  • If we do not hear from you within 5 business days, the project will be delayed.
    • The first time this happens, we will email you to let you know.
    • The second time this happens, we will call and email you to let you know.
    • If this happens more than 2 times, we will pause your project and a new onboarding fee of $150 will need to be paid in order to restart the project.
  • When client sends feedback, we will respond within 2 business days with a timeframe for completing the revisions.
    • Please understand that this requires flexibility, as we cannot predict what type of revisions may be needed. There are times when a revision requires two or more people from our team to collaborate.
  • If there is information for the design that needs to be provided by the client, Pearl Jade Marketing will extend a 30 day grace period. Examples include domain, email address, address, phone number, etc. After the 30 day period is over, Pearl Jade Marketing will send the deliverable without the information. Any additional information that needs added after the deliverable has been sent will be done at our hourly rate of $125/hour.

REVISIONS AND CHANGES TERMS

Our branding and website revision process is designed to ensure timely and effective updates, providing you with a seamless experience. Our primary goal is to deliver a finished product that you absolutely love. To achieve this, we’ve established certain guidelines that must be followed. These rules are essential for maintaining a smooth workflow and ensuring that all revisions are completed in a timely manner. Adhering to these processes allows us to meet your expectations and deliver amazing results!

  • For Design/Branding:
    • A logo concept is allowed up to 3 rounds of revisions and one big change.
  • For Websites:
    • In the design portion of the process:
      • Homepage: 1 change and/or up to 3 rounds of revisions. After that limit, all edits will be billed hourly.
      • Remaining Pages: 1 change and/or up to 3 rounds of revisions. After that limit, all edits will be billed hourly.
  • In the development portion of the process:
    • Up to 3 rounds of revisions. After that limit, all edits will be billed hourly. No design changes are made in this part of the process.
    • If design changes/revisions are needed in this part of the process, the edits will be billed hourly.
  • A “revision” means any alterations or edits to text, color, photos, or layout where the total percentage of the deliverable altered is 25% or less of the entire project.
  • A “change” means any alterations or edits to text, color, photos, or layout where the total percentage of the deliverable altered is greater than 25% of the project.
    • For Branding, a change can happen when both concepts miss the vision. The designers will start back at the drawing board to create 1 more additional logo concept after having a thorough discussion with the client.
    • For Branding, a change can occur when client asks to combine the two logo concepts
  • All requests outside of these terms will be completed at our hourly rate.

PAYMENT TERMS

Invoices are due 15 days upon receipt. Payments for services invoiced that are not received within 15 days from the date of invoice will be subject to a 3% penalty and an additional 3% penalty per calendar month, thereafter. Additionally, payments for services invoiced that are not received within 15 days from the date of invoice may result in a suspension of marketing services until the account is brought current. Monthly charges will still apply during any suspension imposed on delinquent accounts.

Adspend reimbursement will have an additional 3% credit card transaction fee added to the reimbursement amount.

HOSTING TERMS

As written in the contract, hosting is provided by a third party partner. Website hosting is a 2 year commitment. After the first 2 years of hosting, contracts will automatically renew every 12 months for 12 months. Pearl Jade Marketing is not responsible for the maintenance and/or security of passwords for email, website logins, cPanel, FTP credentials, etc outside of a maintenance plan. Pearl Jade Marketing is not responsible for any legal action taken against clients for,hosting related issues including but not limited to websites being blocked by IP blockers or security breaches due to vulnerabilities in plugins or other add ons.

ACCESSIBILITY WEBSITE ADD-ON TERMS

As written in the contract, we use a 3rd party to implement this service. Pearl Jade Marketing is not responsible for any legal action taken against clients for any ADA compliance issue. Visitors and Customers are solely responsible for all actions taken or not taken by them in connection with any such applicable laws, rules and regulations, including any Legal Website Accessibility Requirements, and all liability with respect thereto is hereby expressly disclaimed by the Company. LEGAL DISPUTES

Any dispute that arises that concerns these terms & conditions shall be construed for all purposes in accordance with the substantive law of the Commonwealth of Pennsylvania without regard to its conflict of laws principles that would result in the application of the laws of any other jurisdiction. In the event of a dispute the proper venue shall lie solely in the state and/or federal courts located in Cumberland County, Pennsylvania.
